Terms of Service
These Terms of Service ("Terms") govern your use of the Syndeya mobile app, the Syndeya team dashboard, syndeya.com, and Syndeya smart cards (together, the "Service"), provided by Syndeya, LLC, a Florida limited liability company ("Syndeya", "we", "us"). By using the Service you agree to these Terms. If you use the Service for a company or other organization, you agree to them on its behalf and confirm you have the authority to do so.
1. Accounts
You sign in with Apple or Google. Keep your sign-in secure and give us accurate information. You are responsible for activity on your account. You must be at least 13 years old to use the Service.
2. Company accounts
- Who owns what. A company account belongs to the company that creates it (the "Customer"). The people, notes, and follow-ups that team members save while on the company account belong to the Customer, which decides how they are used. Contacts a team member imports from their phone's address book are copies used for that person's reminders and are not added to the company's shared contacts.
- Owners and managers. The Customer's owners and managers can add and remove people, issue and wipe cards, see the company's contacts and event reports, connect integrations, and manage billing. When someone leaves, they can transfer that person's company contacts to a colleague and remove them from that person's app.
- Telling your team. The Customer is responsible for telling its team members that the account belongs to the company, and for having a lawful basis to store the contacts its team saves. Syndeya shows each person a notice when they join.
- Data processing. For information in a company account, Syndeya processes it on the Customer's behalf under our Data Processing Agreement, which forms part of these Terms for company accounts.
3. Plans, free trials, and billing
- Free trial. New company accounts include a free trial (currently 60 days, for up to 5 people). After the trial, adding people requires a paid plan. People already on the team can keep using the Service.
- Paid plans. Company plans are billed yearly per person, in advance, through Stripe. Prices depend on team size and the Customer's billing country and are shown before you pay. Taxes may be added where required. If you subscribe during a free trial, the first charge happens when the trial ends.
- Renewal and changes. Plans renew automatically each year until cancelled. You can change the number of people, update your card, see invoices, or cancel at any time under Billing › Manage billing. A cancellation takes effect at the end of the paid year. Adding people during the year may be charged for the rest of that year.
- Refunds. Fees are non-refundable except where the law requires otherwise or where we say so in writing.
- Late payment. If a payment fails and is not resolved, we may limit adding people or other paid features until it is.
- In-app purchases. Purchases made in the app through Apple or Google, if offered, are billed and managed by them under their terms.
4. Smart cards
- Cards ordered on syndeya.com ship blank with the Syndeya mark and are linked to an account in the app. Cards currently ship to United States addresses. Shipping times are estimates.
- If a card arrives damaged or does not work, contact support@syndeya.com within 30 days of delivery and we will replace it.
- Cards included with a company plan remain usable by the Customer: they can be wiped and given to another team member.
5. Acceptable use
Do not use the Service to break the law, to harass or spam people, to store information you have no right to store, to impersonate anyone, to interfere with or probe the Service's security, or to copy or resell the Service. We may suspend accounts that do.
6. Your content
You (or, for a company account, the Customer) keep ownership of the information you put into the Service. You give us permission to store, process, and display it only as needed to provide the Service to you, including using our service providers listed in the Privacy Policy. Your public card can be seen by anyone with its link, QR code, or card.
7. Our property
The Service, including its software, design, and the SYNDEYA name and logo, belongs to Syndeya, LLC and is protected by intellectual property laws, including pending patents. These Terms do not give you any rights to it beyond using the Service.
8. Disclaimers
The Service is provided "as is" and "as available". We work to keep it reliable, but we do not promise it will be uninterrupted or error-free, or that reminders and AI-generated suggestions will be complete or accurate. Review AI-generated content before relying on it.
9. Limitation of liability
To the fullest extent the law allows, Syndeya is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim, or US $100 if you paid nothing.
10. Ending your use
You can stop using the Service and delete your account at any time in the app under Settings › Delete account. A Customer can close its company account by cancelling its plan and asking support@syndeya.com to close it. We may suspend or end access for violations of these Terms. Sections that by their nature should survive will survive.
11. Changes
We may update these Terms. We will post the new version here with a new effective date and, for significant changes, notify you in the app or by email. Continuing to use the Service after a change means you accept it.
12. Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Duval County, Florida, except where the law of your country requires otherwise.
